This End User Licence Agreement ("EULA") applies to software, apps, admin panels, and related materials that CloneAppz ("CloneAppz", "we", "us", or "our") licenses to you, including white label and clone app products, demos, and the pre-existing components used in platforms we build ("Software"). By installing, accessing, or using the Software, you agree to this EULA.
If you have a signed project agreement with us, its terms take precedence over this EULA where they conflict.
1. Licence grant
Subject to this EULA and payment of the applicable fees, CloneAppz grants you a non-exclusive licence to use, customise, brand, and deploy the Software to operate your own business and platform.
2. Ownership
Once you have paid in full, you own the source code and deliverables created specifically for your project, together with your brand, content, and data, as described in your project agreement.
CloneAppz keeps ownership of its pre-existing tools, frameworks, libraries, and templates ("CloneAppz Components"). Where CloneAppz Components are included in your platform, you receive a perpetual licence to use and modify them as part of that platform.
3. Restrictions
Unless we agree otherwise in writing, you may not:
- Resell, sublicense, or distribute CloneAppz Components as a standalone product, template, or competing white label offering
- Use demo or trial versions of the Software in production or for commercial purposes
- Remove or alter licence notices for CloneAppz Components or third-party software
- Use the Software for any unlawful, fraudulent, or infringing purpose
Agencies and resellers who want to offer our Software to their own clients can do so under a partner agreement.
4. Third-party and open-source software
The Software may include third-party and open-source components, which are licensed under their own terms. Nothing in this EULA limits your rights under those licences.
5. Your data and end users
You are responsible for the data your platform collects from its users, for having an appropriate privacy policy and terms for your app, and for complying with the laws and app store rules that apply to your business.
6. Updates and support
Updates, maintenance, and support are provided as set out in your project agreement or maintenance plan. We are not obliged to provide updates or support outside those arrangements.
7. Warranty disclaimer
Except as stated in your project agreement, the Software is provided "as is" without warranties of any kind, including fitness for a particular purpose or uninterrupted, error-free operation.
8. Limitation of liability
To the fullest extent permitted by law, CloneAppz will not be liable for indirect, incidental, or consequential damages, or for loss of profits, revenue, or data arising from use of the Software. Our total liability is limited as described in our Terms of Service.
9. Termination
This EULA remains in effect until terminated. We may terminate your licence if you materially breach this EULA and do not fix the breach within a reasonable time after notice. Licences to delivered deliverables for which you have paid in full are not affected by termination of any separate maintenance or support arrangement.
10. Governing law
This EULA is governed by the law specified in your project agreement or, if none is specified, the laws of the jurisdiction in which CloneAppz is registered.
